What Are Securities? Part 1: Shares Explained

When people hear the word securities, they often think of the stock market. But what exactly are securities? In simple terms, securities are financial instruments that represent ownership, a financial claim, or the right to receive value. They are the foundation of modern capital markets and allow money to flow efficiently between investors and businesses.

In this first part of our educational series, we focus on one of the most well-known types of securities: shares.

What Are Shares?

Shares, also known as stocks or equities, represent ownership in a company. When you purchase shares, you are buying a portion of that company. As a shareholder, you become one of the owners and may benefit from the company’s growth and profitability.

For example, if a company issues 1,000 shares and you own 100 of them, you own 10% of that company. Your ownership entitles you to certain rights, which may include voting at shareholder meetings and receiving dividends.

Shares allow companies to raise capital without taking on debt. Instead of borrowing money from a bank, a company can sell ownership stakes to investors who believe in its long-term success.

Why Do Companies Issue Shares?

Businesses issue shares primarily to raise capital. This capital can be used for expanding operations, investing in new technology, hiring employees, entering new markets, or strengthening their financial position.

Unlike loans, shares do not need to be repaid. However, shareholders expect a return on their investment, either through capital appreciation (an increase in share price) or dividends.

By listing shares on a regulated exchange such as the Dutch Caribbean Securities Exchange (DCSX), companies gain access to a broader group of potential investors and operate within a transparent and structured marketplace.

Types of Shares

There are generally two main categories of shares.

Common Shares typically provide voting rights at shareholder meetings, the right to receive dividends if declared, and the potential to benefit from share price increases. However, common shareholders are usually last in line if a company is liquidated.

Preferred Shares often provide priority in receiving dividends and priority over common shareholders in case of liquidation. In exchange, preferred shareholders may have limited or no voting rights. Preferred shares often appeal to investors seeking more stable and predictable income.

How Share Prices Are Determined

Share prices are determined by supply and demand in the marketplace. When more investors want to buy a company’s shares than sell them, the price tends to rise. When more investors want to sell than buy, the price may decline.

Several factors influence share prices, including company performance and profitability, economic conditions, industry trends, investor confidence, and global events. Because of these variables, share prices can fluctuate daily — sometimes significantly.

How Do Investors Benefit from Shares?

Investors generally benefit from shares in two main ways.

Capital Growth occurs when a company performs well and grows over time, leading to an increase in share value. Investors can then sell their shares at a higher price than they paid.

Dividends are distributions of a portion of the company’s profits to shareholders. Dividends provide a source of income in addition to potential capital gains.

Over the long term, shares have historically offered attractive growth potential compared to traditional savings products. However, higher potential returns come with higher risk.

Understanding the Risks

Investing in shares involves risk. Share prices can decline due to poor company performance, economic downturns, regulatory changes, or unexpected global events.

Unlike savings accounts, returns are not guaranteed. Investors must carefully evaluate companies, diversify their investments, and adopt a long-term perspective.

Education and informed decision-making are essential. A regulated exchange environment helps ensure transparency and fair trading conditions, supporting investor confidence.

The Role of Shares in the Economy

Shares are more than investment products; they are tools for economic development. By enabling businesses to raise capital and investors to participate in growth, shares connect savings with productive economic activity.

In markets such as Curaçao, access to regulated trading platforms strengthens financial infrastructure and promotes participation in capital markets. By providing local companies with the opportunity to raise capital through equity listings, the exchange can support business expansion, improve transparency and governance standards, and broaden investment opportunities for the community. This contributes to economic diversification, transparency, and long-term sustainability of the financial ecosystem

Conclusion

Shares are one of the most fundamental types of securities. They represent ownership in a company and provide opportunities for growth and income. At the same time, they carry risk and require careful consideration.
